Acted for OQ Gas Networks SAOG on the conversion of the company from a closed joint stock company into a public joint stock company and initial public offering of its shares.

Advised Falcon Investment Authority (a subsidiary of Qatar Investment Authority), as Omani law counsel, in relation to its investment as an anchor investor in the three Initial Public Offerings (IPOs) undertaken in Oman viz IPO of OQ Base Industries (SFZ) SAOG, OQ Exploration and Production SAOG and Asyad Shipping Company SAOG.

Advised as an Omani legal counsel to the Joint Lead Managers in relation to issuance of the National Bank of Oman’s USD-denominated Perpetual Tier 1 Capital Securities.

Advised and assisted State General Reserve Fund (now, Oman Investment Authority) in connection with setting up a private equity fund named Rakiza Fund for the purpose of acquiring/ holding the Government of Oman’s existing infrastructure assets and/or to invest in other infrastructure projects in Oman.

Advised Oman Investment Fund in relation to formation of a fund of funds, establishment of a management company to manage the investments of the fund, review of documentation pertaining to the initial investments of the fund in 500 Startup Fund IV, Atlantic Bridge Fund III, Silicon Valley Bank Fund and other local and global funds and formation of an incubator, an accelerator and a venture capital fund below the Fund.

Advised Renaissance Services SAOG on its issuance of dual-currency (U.S. Dollars/ Omani Rials) perpetual bonds worth up to $200 million, which were listed on the Irish Stock Exchange by Renaissance International Limited which is a wholly owned subsidiary of Renaissance Services SAOG.

Advised Dubai Financial Group LLC from Omani law perspective on the sale of its stake in Bank Muscat SAOG.

Advised Oman Qatar Insurance Company SAOC (OQIC) on its merger with Vision Insurance Company SAOG.

Advised Rakiza and Al-Hosn Investment Company on acquisition of 65% of the issued share capital of Oman Broadband Company SAOC from Oman Information and Communication Technology Group.

Acted as legal counsel to Oman Cement Company SAOG in connection with the mandatory tender offer launched by Abra Holdings Limited to acquire 15.42% of the issued share capital of the Company pursuant to the Takeover and Acquisition Regulation.

Advised Renaissance Services SAOG in connection with its divestment of its offshore support vessel business undertaken by Topaz Energy and Marine Bermuda.

Advised Ubhar Capital SAOC on the acquisition of 100% of the share capital of Gulf Baader Capital Markets SAOC from Gulf Investment Holding Co. SAOG.

Acted as Omani counsel in relation to the reorganisation of Kuwait Food Company (Americana) KSCC (KFC)’s Omani corporate holding structure through working out a series of share transfers and relocating the Omani business under a new holding company.

Advised Mubbadrah Investment LLC in connection with a DeSpac transaction involving the divestment of its group company Gulf Energy SAOC against allotment of shares in a SPAC listed on a bourse in the U.S.

Advised Prysmian Group S.p.A. on the acquisition by its wholly owned subsidiary Draka Holdings B.V. of an additional 16% (approx.) shareholding in Oman Cables Industry SAOG resulting in it acquiring control over the publicly listed target.
